1. Acceptance of Terms

By accessing and using MediaDesk's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

MediaDesk provides digital marketing services including but not limited to:

• Social media marketing and management
• Content creation and strategy
• Digital advertising campaigns
• Brand development and consulting
• Analytics and reporting

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information
• Respond to requests for information in a timely manner
• Provide necessary access to accounts and platforms
• Review and approve deliverables within agreed timeframes
• Make payments according to agreed terms

4. Payment Terms

Unless otherwise agreed in writing:

• Payment terms are Net 30 days from invoice date
• Late payments may incur additional fees
• Services may be suspended for overdue accounts
• All prices are exclusive of applicable taxes

5. Intellectual Property

MediaDesk retains ownership of all methodologies, processes, and tools developed by us. Upon full payment, clients receive ownership of custom deliverables created specifically for their project, excluding our proprietary methods and tools.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This obligation survives the termination of the agreement.

7. Limitation of Liability

MediaDesk's liability is limited to the amount paid for services. We are not liable for indirect, incidental, or consequential damages. We make no guarantees regarding specific results or outcomes.

8. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination:

• All outstanding invoices become immediately due
• Client retains ownership of completed deliverables
• MediaDesk may cease all services
• Confidentiality obligations continue

9. Website Use

Users of our website agree to:

• Not use the site for any unlawful purpose
• Not attempt to breach security measures
• Not transmit harmful code or malware
• Respect intellectual property rights

10. Disclaimers

Our services are provided "as is" without warranties. We do not guarantee specific results, rankings, or performance metrics. Digital marketing involves inherent risks and uncertainties.

11. Governing Law

These terms are governed by the laws of the Republic of Serbia. Any disputes shall be resolved in the courts of Belgrade, Serbia.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated date. Continued use of our services constitutes acceptance of modified terms.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including but not limited to natural disasters, war, terrorism, or government actions.

14. Severability

If any provision of these terms is found to be unenforceable, the remainder of the terms shall remain in full force and effect.
